Terms for using SubClimb

These Terms describe your legal rights and obligations when you use SubClimb. By creating an account, accessing the dashboard, or using any paid features, you agree to these Terms.

1) Acceptance of Terms

By using SubClimb, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service. If you are using SubClimb on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

By creating an account, signing up for updates, or continuing to use SubClimb, you also consent to receive emails from us related to your account, security, billing, product updates, feature announcements, support, service notices, newsletters, promotions, and other marketing or commercial communications about SubClimb. You can opt out of non-essential promotional emails at any time using the unsubscribe link in those emails, but you may still receive transactional or service-related messages necessary to operate your account and provide the service.

2) Eligibility and Account Responsibility

  • You must be legally able to form a binding contract in your jurisdiction.
  • You are responsible for maintaining account security and controlling access credentials.
  • You must provide accurate account information and keep it reasonably current.
  • You are responsible for all activity under your account, including team or delegated access.

3) Service Description

SubClimb provides software tools for Reddit marketing workflows, including project context management, subreddit/lead discovery, and AI-assisted post/reply drafting. Features may change over time, and some functionality depends on third-party services and APIs.

4) Acceptable Use and Platform Rules

You agree not to misuse SubClimb. Prohibited conduct includes:

  • Using the service for unlawful, fraudulent, abusive, harassing, or deceptive conduct.
  • Automating spam, coordinated manipulation, or behavior that violates subreddit/community rules.
  • Attempting to reverse engineer, interfere with, or bypass technical safeguards or usage controls.
  • Using generated output without review in ways that infringe rights or violate third-party policies.
  • Uploading content you do not have rights to use.

You are solely responsible for what you publish, including compliance with Reddit policies, subreddit-specific rules, advertising/disclosure obligations, and applicable law.

5) AI Output and User Review Requirement

  • AI-generated content can be inaccurate, incomplete, or unsuitable for specific communities.
  • You must review, edit, and approve all generated output before posting.
  • SubClimb does not guarantee reach, engagement, conversion outcomes, or account safety on Reddit.
  • You assume responsibility for publication decisions and resulting outcomes.

6) Billing, Subscriptions, and Cancellation

  • Paid features are offered by subscription and billed through Stripe.
  • Subscriptions renew automatically unless canceled before the next billing date.
  • You can manage or cancel billing from your account settings/Stripe customer portal.
  • Price, plan limits, and feature allocations may change with reasonable notice.
  • Except where required by law, fees are generally non-refundable once a billing period starts.

7) Intellectual Property and Licenses

  • SubClimb and its software, branding, and product materials are owned by SubClimb or licensors.
  • You retain rights to content you provide to the service, subject to permissions needed to operate it.
  • You grant SubClimb a limited, non-exclusive license to host, process, and display your content solely to provide, maintain, and improve the service.
  • You must have rights to input content and are responsible for ensuring your use does not infringe third-party rights.

8) Availability, Modifications, and Suspension

We may modify, pause, or discontinue parts of the service at any time. We may suspend or terminate access for violations of these Terms, legal risk, security risk, abuse, non-payment, or protection of service integrity.

9) Disclaimers and Limitation of Liability

SubClimb is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities.

To the fullest extent allowed by law, total liability arising out of or related to the service is limited to the amount paid by you to SubClimb during the 12 months preceding the event giving rise to liability.

10) Indemnification

You agree to defend, indemnify, and hold harmless SubClimb and its affiliates from claims, liabilities, losses, and expenses (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms or applicable law.

11) Termination

You may stop using SubClimb at any time. We may terminate or suspend access as described above. Provisions that by nature should survive termination (including payment obligations, disclaimers, liability limits, indemnity, and dispute provisions) will survive.

12) Governing Law and Disputes

These Terms are governed by applicable law in the jurisdiction where SubClimb is established, without regard to conflict-of-law principles. Disputes will be resolved in the courts with proper jurisdiction, unless otherwise required by consumer protection law.

If you need a jurisdiction-specific clause (for example, Delaware/California/EU/UK), update this section before production launch.

13) Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by updating the effective date and, where appropriate, via email or in-product notice. Continued use after changes become effective constitutes acceptance of the updated Terms.
